Business customers only
The Site and everything offered through it are intended exclusively for businesses, public institutions, and other organizations acting in a professional capacity. They are not offered to consumers. By purchasing, you confirm that you are acting for purposes relating to your trade, business, craft, or profession.
What we offer
We distribute software packages ("Packages") that extend OTRS Community Edition, Znuny, and OTOBO. Some Packages are free of charge; others are paid. Each Package's page states which framework versions it supports and the license that applies to it.
We are an independent vendor. We are not affiliated with, endorsed by, or sponsored by OTRS AG, Znuny GmbH, or Rother OSS GmbH. OTRS is a trademark of OTRS AG; Znuny is a trademark of Znuny GmbH; OTOBO is a trademark of Rother OSS GmbH. We use these names only to describe compatibility.
Licenses
The license for each Package is stated on its page and included in the Package itself. Two arrangements apply:
- Open source Packages.
- Most Packages are licensed under the GNU General Public License, version 3, matching the frameworks they extend. Your rights in the code are those granted by that license, and nothing in these Terms limits them.
- Commercial Packages.
- Some Packages are licensed under our commercial license, which provides the source code for your internal use and does not permit redistribution or resale. The applicable terms are shown before purchase and included with the Package.
Buying a subscription (section 5) is separate from the license to the code. It is a contract for updates and support, and it does not add restrictions to any open source license.
Subscriptions, updates, and support
Paid Packages are sold as annual subscriptions. A subscription includes:
- access to download the Package and all updates released during the subscription term;
- email support at support@otrspackages.com, with a target first response within two business days.
When a subscription ends, the Package you have already installed continues to work. What stops is access to new versions, updates, and support.
Subscriptions renew annually unless canceled. We send renewal reminders before each renewal date. You can cancel at any time before renewal.
Free Packages are provided without any support or update commitment, although we usually publish updates for them as well.
Orders and payment
Our order process is provided by Paddle. Paddle.com is the merchant of record for all orders placed through the Site. Paddle provides all customer service inquiries relating to payment and handles returns and invoicing.
This means your purchase contract for payment is with Paddle, and Paddle's buyer terms apply to it, while the Packages themselves are licensed to you by us. Prices are shown exclusive of VAT where applicable; Paddle calculates and charges applicable taxes at checkout, and applies the EU reverse charge mechanism where the conditions for it are met.
Paddle issues invoices for your purchases. If you need alternative purchasing arrangements (purchase orders, payment terms, procurement portals), contact hello@otrspackages.com and we will handle the order directly.
Refunds
We offer a full refund on first purchases within 30 days, for any reason. Contact support@otrspackages.com or Paddle, and we will arrange it.
Renewal payments are not refundable. We send reminders before each renewal so that you can cancel in advance if you no longer want the subscription.
Refunds are processed by Paddle to the original payment method. Nothing in this section limits any right you may have directly against Paddle under their buyer terms.
Your account and license keys
Some purchases include a license key or access credentials. Keep them confidential and do not share them outside your organization. We may suspend access where credentials are shared publicly or used in a way that circumvents the subscription model. Suspension of access does not affect any rights you hold under an open source license.
You are responsible for the accuracy of the information you give us and for keeping your contact email current, since license and renewal notices are sent to it.
Acceptable use of the Site
Do not attempt to disrupt the Site, gain unauthorized access to it, scrape it in a way that burdens it, or use it to distribute unlawful material. We may restrict access where this happens.
Warranties and liability
The Packages are provided "as is". To the fullest extent permitted by law, we exclude all implied warranties, including merchantability and fitness for a particular purpose. Open source Packages additionally carry the warranty disclaimer contained in their license.
We are liable only for damage caused intentionally or by gross negligence, and, in the case of ordinary negligence, only for breach of an essential contractual obligation, in which case our liability is limited to foreseeable damage typical for this kind of contract. In any event, our total liability arising out of or relating to a Package is limited to the amount you paid us for that Package in the twelve months preceding the event giving rise to the claim.
We are not liable for indirect or consequential loss, loss of profit, loss of data, or business interruption. Nothing here excludes liability that cannot be excluded by law, including liability for personal injury.
You are responsible for testing Packages in a non-production environment before deploying them, and for maintaining backups.
Changes
We may change these Terms. The current version is always published here with its date. For existing subscriptions, changes apply from the next renewal. Continued use of the Site after a change means you accept the updated Terms.
We may add, change, or discontinue Packages. If we discontinue a paid Package, we will continue to provide updates and support to existing subscribers until the end of their current subscription term.
Governing law and jurisdiction
These Terms are governed by Polish law. The courts of Warsaw, Poland have exclusive jurisdiction over any dispute arising out of or in connection with them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Miscellaneous
If any provision of these Terms is held invalid, the remainder continues in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the license applicable to each Package, are the entire agreement between us regarding the Site and the Packages.
